A program of the UMKC School of Law, the
Entrepreneurial
Legal Services Clinic (ELSC) provides pro bono legal
business planning services to start-up and existing small
business owners who cannot afford the market rates for such
services. UMKC School of Law faculty, who are licensed
attorneys, supervise law students
as they provide legal and professional services to qualified
clients, assisting small businesses in several ways:
Education – The ELSC educates “business novices” who
want to establish a new enterprise in basic legal concepts
such as:

Limited liability, risk management and insurance

Trademarks
-
Business and domain names
-
Basic transactions and contracts, including leases and real
estate purchases or sales
Entity Formation – Students and faculty from the
UMKC Law School conduct a choice of entity analysis for the
owner’s new business idea and management plan and draft the
necessary entity formation documents.
Regulatory Issues – Students and faculty help both
new and existing business owners recognize regulatory issues
affecting a particular business.
Nonprofit Support – Students learn how to form and
obtain tax-exempt status for nonprofit organizations and to
advise the nonprofit entity on legal maintenance matters.
Proper Administration – Students and faculty help
ensure proper administration practices by advising clients
on legal issues concerning taxes, the importance of timely
payment of payroll trust funds and entity maintenance.
